THESE TERMS CONTAIN IMPORTANT DISCLOSURES ABOUT PRESCRIPTION PRODUCTS SOLD BY THIRD PARTIES, DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, AND A BINDING ARBITRATION PROVISION WITH A CLASS ACTION WAIVER (SECTION 18) THAT AFFECTS YOUR LEGAL RIGHTS. BY PLACING AN ORDER, YOU AGREE TO BE BOUND BY THESE TERMS.
These Terms of Sale (these "Terms") govern all purchases of products and enrollment in programs made through the website located at truthehealth.com and any related pages, portals, or applications that link to these Terms (collectively, the "Truthe Sites"). By placing an order, clicking to accept these Terms at checkout, or otherwise purchasing products through the Truthe Sites, you ("you" or "Customer") agree to be bound by these Terms, our Terms of Use, our Privacy Policy, and any additional terms presented to you at the time of purchase, each of which is incorporated into these Terms by reference. If you do not agree to these Terms, do not place an order.
"Truthe," "we," "us," and "our" mean Truthe Health Inc., a Wyoming corporation, together with its subsidiaries and affiliated entities, including Truthe Supplements LLC and Truthe Medical LLC (each a Wyoming limited liability company). The specific Truthe entity acting as the seller of record for a given product, and any third party acting as the merchant of record for a given transaction, will be identified at checkout and on your billing statement.
The Truthe Sites offers two distinct categories of products, and the parties to your purchase differ by category:
Every product offered through the Truthe Sites falls into one of these two categories. Any product that does not require a prescription is a Nutrition Product for purposes of these Terms, regardless of how it is named, described, or categorized on the Truthe Sites.
Nutrition Products that are dietary supplements or vitamins are regulated under the Federal Food, Drug, and Cosmetic Act, as amended by the Dietary Supplement Health and Education Act of 1994 (DSHEA). Statements regarding dietary supplements and vitamins have not been evaluated by the U.S. Food and Drug Administration ("FDA"). Nutrition Products are not intended to diagnose, treat, cure, or prevent any disease.
Nutrition Products are intended for use by adults as part of a nutrition program and, where offered in connection with surgical recovery, are intended to be used under the supervision of your own licensed healthcare provider. You should consult your physician or other qualified healthcare provider before using any Nutrition Product, particularly if you are pregnant or nursing, have a medical condition, take prescription medication, or are preparing for or recovering from surgery. Always follow the guidance of your treating providers.
Truthe is not a pharmacy, is not a healthcare provider, does not practice medicine, and does not sell, dispense, prescribe, or bill for Prescription Products. Prescription Products offered through the Truthe Sites are made available through an independent third-party telehealth and fulfillment platform (the "Telehealth Vendor") and its nationwide network of independently licensed healthcare providers and state-licensed compounding pharmacies. With respect to Prescription Products, Truthe acts solely as an intermediary and as a marketing, technology, and administrative services provider to the Telehealth Vendor and its network. Truthe's role is limited to operating the Truthe Sites, providing educational and marketing content, facilitating your connection to the Telehealth Vendor, and providing related platform and customer-experience services.
The following applies to all Prescription Products:
Prescription Products may be compounded medications prepared by state-licensed compounding pharmacies pursuant to a valid, patient-specific prescription. Compounded medications are permitted under Section 503A of the Federal Food, Drug, and Cosmetic Act but are not FDA-approved, meaning the FDA has not evaluated any compounded medication for safety, effectiveness, or quality prior to marketing. Compounded medications are prepared for individual patients and are not commercially available drug products. You should discuss the risks and benefits of any compounded medication with the licensed provider who evaluates you.
All content on the Truthe Sites, including protocol descriptions, articles, ingredient information, dosing frameworks, and educational materials, is provided for general informational purposes only and does not constitute medical advice, diagnosis, or treatment. Never disregard, avoid, or delay obtaining medical advice from a qualified healthcare provider because of something you have read on the Truthe Sites. If you are experiencing a medical emergency, call 911 immediately.
Individual results vary. Truthe makes no representation, warranty, or guarantee of any kind regarding the efficacy, outcome, results, or benefits of any product, program, or protocol for any individual. Recovery timelines, clinical outcomes, and responses to nutrition or prescription therapies differ from person to person and depend on factors outside our control, including your underlying health, adherence, concurrent treatment, and the independent clinical decisions of your providers. Any outcome data, studies, or testimonials referenced on the Truthe Sites describe general research findings or individual experiences and are not a promise or prediction of your results.
You must be at least eighteen (18) years of age and a resident of the United States to purchase products through the Truthe Sites. Certain products, including all Prescription Products, may be unavailable in certain states or jurisdictions, and availability may change without notice. By placing an order, you represent and warrant that all information you provide, including identity, shipping, payment, and health intake information, is truthful, accurate, current, and complete, and that you are purchasing products solely for your own personal use and not for resale. Providing false or incomplete health information can result in serious harm to you and is grounds for immediate refusal or cancellation of any order.
All orders are subject to acceptance. We (or, for Prescription Products, the Telehealth Vendor) may refuse, cancel, or limit any order for any lawful reason, including suspected fraud, pricing or listing errors, product unavailability, or ineligibility. Prices, fees, and program structures are subject to change at any time, but changes will not affect orders already accepted. In the event of an obvious pricing error, we may cancel the affected order and refund any amounts charged.
By providing a payment method, you represent that you are authorized to use it and you authorize the applicable merchant of record to charge that payment method for the total amount of your order, including applicable taxes and shipping. Depending on the products in your order, your payment method may be charged by more than one merchant, and your billing statement may reflect separate entries for Nutrition Products and Prescription Products. Each merchant will be identified at checkout. You are responsible for all applicable sales, use, and similar taxes.
Certain products and programs, including Prescription Product therapies, are offered on a recurring subscription basis. If you enroll in a subscription, the material terms, including the amount and frequency of recurring charges, the merchant of record for those charges, and the method for cancellation, will be clearly disclosed to you before you consent to the subscription, and you will receive a confirmation of your enrollment.
By enrolling, you authorize the applicable merchant of record to charge your payment method on a recurring basis at the disclosed interval until you cancel. You may cancel a subscription at any time through your account portal or by contacting support@truthehealth.com, and cancellation will take effect no later than the end of the then-current billing period; charges already incurred are not refunded except as provided in Section 11 or as required by law. Where required by applicable law, you will receive renewal reminders and a cancellation mechanism at least as simple as the method used to enroll. Continuation of any Prescription Product subscription remains subject at all times to ongoing review by an independent licensed provider, who may modify or discontinue therapy at any time in their professional judgment; in that event the associated subscription will be adjusted or terminated accordingly.
Nutrition Products are shipped by Truthe Supplements LLC or its fulfillment providers to addresses within the United States. Title and risk of loss for Nutrition Products pass to you upon delivery of the product to the carrier. Prescription Products are shipped directly to you by the dispensing pharmacy, using cold-chain or other handling appropriate to the medication, and are governed by the pharmacy's and Telehealth Vendor's shipping practices. Delivery estimates are estimates only, and neither Truthe nor any third party guarantees delivery by any particular date.
Nutrition Products. Unopened Nutrition Products in resalable condition may be returned within thirty (30) days of delivery for a refund of the purchase price, less a ten percent (10%) restocking fee. Original shipping charges are non-refundable, and you are responsible for the cost of return shipping. All returns require prior authorization: contact support@truthehealth.com to obtain a return authorization and shipping instructions before sending any product back; returns received without authorization may be refused. Opened Nutrition Products are not returnable except in the case of defect or damage. If a Nutrition Product arrives damaged or defective, contact support@truthehealth.com within ten (10) business days of delivery and we will replace the product or refund the purchase price at our discretion, at no cost to you and with no restocking fee. Refunds are issued to the original payment method.
Prescription Products. For your safety and as required by law, Prescription Products cannot be returned or restocked once dispensed, and all sales of dispensed Prescription Products are final, except where the medication arrives damaged, compromised, or in error, in which case a replacement or refund may be issued in accordance with the dispensing pharmacy's and Telehealth Vendor's policies. Refunds for Prescription Products, including amounts paid prior to a provider determination that therapy is not appropriate, are processed by the Telehealth Vendor as merchant of record. Truthe will assist in facilitating resolution of any Prescription Product payment issue but does not itself hold or refund those funds.
We may modify, discontinue, substitute, or reformulate products and programs at any time. Product labels, formulations, and packaging may change, and the information on the Truthe Sites may not reflect the most current version of a product. Always read the label, warnings, and directions provided with the product before use, and rely on the physical label over Truthe Sites content in the event of any conflict.
The telehealth consultations, prescribing services, pharmacy services, and payment processing associated with Prescription Products are provided by the Telehealth Vendor, its network providers, its network pharmacies, and their respective payment processors, each of which is an independent third party and not an agent, employee, or joint venturer of Truthe. Your use of those services is subject to the applicable third party's own terms of service, consent to telehealth, notice of privacy practices, and other agreements, which will be presented to you as part of the intake and checkout process. Truthe is not responsible or liable for the acts, omissions, professional judgment, or services of any independent third party, including any healthcare provider or pharmacy. Nothing in this section limits any non-waivable rights you may have under applicable law with respect to healthcare services.
The Truthe Sites and all content on it, including the TRUTHE name and marks, logos, protocol names, text, graphics, and software, are the property of Truthe or its licensors and are protected by intellectual property laws. Your purchase of a product grants you no license or right to use any Truthe trademark, content, or other intellectual property except as necessary to review your order and use the product for personal purposes.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT AS EXPRESSLY STATED IN THESE TERMS, ALL PRODUCTS AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, AND TRUTHE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. TRUTHE DOES NOT WARRANT THAT ANY PRODUCT WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY PARTICULAR HEALTH, RECOVERY, OR OTHER OUTCOME. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU; IN THAT CASE, ANY IMPLIED WARRANTY IS LIMITED TO THE MINIMUM SCOPE AND DURATION PERMITTED BY LAW.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT WILL TRUTHE OR ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) THE TOTAL AGGREGATE LIABILITY OF TRUTHE ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID TO TRUTHE FOR THE PRODUCT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (II) ONE HUNDRED U.S. DOLLARS ($100). THE FOREGOING LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR DEATH OR PERSONAL INJURY TO THE EXTENT SUCH LIMITATION IS PROHIBITED. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless Truthe and its officers, directors, members, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your breach of these Terms, (b) your violation of applicable law, (c) inaccurate, incomplete, or false information you provide, including health intake information, or (d) your misuse of any product, including use contrary to labeling, provider instructions, or applicable law.
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND TRUTHE TO RESOLVE DISPUTES THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION AND WAIVES THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS, UNLESS YOU OPT OUT AS DESCRIBED BELOW.
Informal resolution first. Before initiating arbitration, you and Truthe each agree to first attempt to resolve any dispute informally by providing written notice to the other party describing the dispute and the requested relief. Notice to Truthe must be sent to support@truthehealth.com with the subject line "Legal Dispute Notice." If the dispute is not resolved within sixty (60) days of receipt of notice, either party may commence arbitration.
Agreement to arbitrate. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the Truthe Sites, or any product purchased through the Truthe Sites, including the validity, enforceability, or scope of this arbitration provision, will be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs the interpretation and enforcement of this provision. The arbitration will be conducted by a single arbitrator, in the county where you reside or another mutually agreed location, or by videoconference or on written submissions where permitted by the AAA rules. Judgment on the award may be entered in any court of competent jurisdiction.
Exceptions. Either party may (a) bring an individual claim in small claims court if the claim qualifies, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Nothing in this section is intended to limit claims against, or arbitration obligations of, any independent healthcare provider, pharmacy, or the Telehealth Vendor, which are governed by your separate agreements with those parties.
CLASS ACTION WAIVER. YOU AND TRUTHE EACH AGREE THAT ANY PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM, THAT CLAIM, AND ONLY THAT CLAIM, MUST PROCEED IN COURT, AND THE REMAINDER OF THIS SECTION REMAINS IN EFFECT.
Opt-out. You may opt out of this arbitration provision and class action waiver by sending written notice to support@truthehealth.com, subject line "Arbitration Opt-Out," within thirty (30) days of the date you first accept these Terms, stating your name, address, and clear intent to opt out. Opting out will not affect any other provision of these Terms.
These Terms and any dispute arising out of or relating to them are governed by the laws of the State of Wyoming, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 18. For any matter not subject to arbitration, you and Truthe consent to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming. Nothing in this section deprives you of the protection of mandatory consumer protection laws of the state in which you reside to the extent those laws apply notwithstanding a choice-of-law provision.
We may update these Terms from time to time. The version in effect at the time you place an order governs that order. Material changes will be indicated by updating the "Last Updated" date above, and where required by law we will provide additional notice or obtain renewed consent. Your continued use of the Truthe Sites or placement of new orders after changes take effect constitutes acceptance of the updated Terms.
Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. Assignment. You may not assign these Terms or any rights under them without our prior written consent; we may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets. No waiver. Our failure to enforce any provision is not a waiver of that provision or any other. Force majeure. Neither Truthe nor any third-party fulfillment partner is liable for delay or failure to perform caused by events beyond reasonable control, including carrier delays, supply disruptions, natural disasters, or governmental action. Entire agreement. These Terms, together with the documents incorporated by reference and any product-specific terms presented at checkout, constitute the entire agreement between you and Truthe regarding your purchases and supersede all prior understandings on that subject.
